CITY OF SANDPOINT BONNER COUNTY, IDAHO WATER REVENUE REFUNDING BONDS, SERIES 2022 Summary of Ordinance No. 1390, passed on December 15, 2021 ORDINANCE NO. 1390 AN ORDINANCE OF THE CITY OF SANDPOINT, BONNER COUNTY, IDAHO, AUTHORIZING THE ISSUANCE OF THE CITY'S WATER REVENUE REFUNDING BONDS, SERIES 2022, IN THE AGGREGATE PRINCIPAL AMOUNT OF NOT TO EXCEED $13,425,069, TO PROVIDE FUNDS NECESSARY TO PREPAY AND REFUND CERTAIN OUTSTANDING WATER REVENUE BONDS OF THE CITY; DELEGATING CERTAIN AUTHORITY TO THE DESIGNATED REPRESENTATIVE IN CONNECTION WITH THE SALE AND ISSUANCE OF THE BONDS AND OTHER TERMS OF THE BONDS UNDER THE CONDITIONS SET FORTH HEREIN; AUTHORIZING PRELIMINARY AND FINAL OFFICIAL STATEMENTS; PLEDGING REVENUES FOR PAYMENT OF THE BONDS; PROVIDING FOR OTHER MATTERS PROPERLY RELATING THERETO; AND PROVIDING FOR THE EFFECTIVE DATE HEREOF. Section 1. Definitions. Defines certain capitalized terms used in the Ordinance. Section 2. Findings and Purposes. Authorizes the issuance of the Bonds and the use of Bond proceeds to refund the Refunded Bonds. Section 3. Authorization of Bonds and Bond Details; Delegation of Authority. Authorizes the sale of the City's Water Revenue Refunding Bonds, Series 2022 (the "Bonds"), in an amount of not to exceed $13,425,069 to provide funds, together with other funds of the City, to refund the Refunded Bonds. Describes the Bonds and their terms of repayment and provides details regarding payments. Section 4. Payment, Registration and Transfer of Bonds. Sets forth the method of payment and registristration of the Bonds by the Registrar and the method of transfer of the Bonds. Section 5. Pledge of Revenue. Pledges the Net Revenue of the Water System for the payment of the Bonds. Section 6. Refunding Plan and Procedures. Sets forth how the proceeds of the Bonds will be applied and the refunding plan and procedures for refunding the Refunded Bonds. Section 7. Revenue Fund. Renames the City's current Revenue Fund as the "Revenue Fund" and sets forth the priority of payments from the Revenue Fund. Section 8. Bond Fund. Describes the Bond Fund and provides for deposits to and payments from the Bond Fund for repayment of the Bonds [and the Reserve Fund]. Section 9. Reserve Fund. Authorizes a Reserve Fund to be created, if required, and authorizes transfer of funds from the current Reserve Account to the Reserve Fund. Section 10. Cost of Issuance Account. Establishes a Cost of Issuance Account to be used by the Paying Agent to pay costs of issuance of the and to refund the Refunded Bonds. Section 11. Application of Bond Proceeds; Call for Redemption of Refunded Obligations. Provides that bond proceeds will be used to refund the Refunded Bonds and pay costs of issuance of the Bonds. Authorizes the Designated Representative to provide notice and call the Refunded Bonds for redemption, and to set aside sufficient funds out of the proceeds of the Bonds therefor. Section 12. Specific Covenants. Sets forth additional covenants related to the Bonds. Section 13. Tax Covenants. Includes covenants to comply with federal tax requirements and contains special designations under the Internal Revenue Code. Section 14. Form of Bonds. Describes the form of the Bonds. Section 15. Execution of Bonds. Authorizes procedures for execution and authentication of the Bonds by the appropriate officials of the City. Section 16. Redemption Provisions. Describes the conditions under which the Bonds are subject to redemption prior to their maturity. Section 17. Issuance of Future Parity Bonds. Sets forth the terms and conditions regarding the issuance of Future Parity Bonds. Section 18. Lost or Destroyed Bonds. Makes provision in case a bond is lost, stolen or destroyed. Section 19. Delegation of Authority; Sale of Bonds. Descibes the authority delegated to the Designated Representative to determine the final sale details of the Bonds. Section 20. Continuing Disclosure. Authorizes the Designated Representative to enter into a continuing disclosure undertaking. Section 21. General Authorization; Prior Acts. Authorizes the Designated Representative to take appropriate steps to carry out the terms and provisions of, and complete the transactions contemplated by the Ordinance. Provides that all acts taken pursuant to the authority of the Ordinance but prior to its effective date are ratified and confirmed. Section 22. Validity of Issuance. Provides that the Bonds are issued and are valid pursuant to Idaho Code. Section 23. Severability. Provides that other covenants and agreements in the Ordinance are not affected if one is made invalid. Section 24. Effective Date. Provides that the Ordinance shall take effect from and after its passage and publication of the summary thereof as required by law.
